ARTICLE VI SEAL


The Corporate Seal of the Corporation shall be circular in form and shall have inscribed around the border thereof the name of the Corporation and in the center the words "Corporate Seal Delaware 1988". The seal shall be kept in the custody of the Executiv e Secretary. If and when so directed by the Board, a duplicate of the seal may be kept and used by such other officer or employee of the Corporation as may be designated.
